Seller Agreement
Between Mintrage (“Mintrage” or the “Company”) and the registered seller (the “Seller”). The agreement date is the date the Seller registers. Mintrage and the Seller are each a “Party” and together the “Parties”.

1. Seller Information

The Seller must provide accurate and complete information during registration. This is the Seller’s full name, email address, country of residence, country of business operation and, where available, business or social media page. Mintrage may request further information under clause 2.4. The Seller agrees to notify Mintrage if any material information provided during registration changes.

2. Eligibility

2.1The Seller must be at least fifteen (15) years of age at the time of registration.
2.2The Seller represents and warrants that the information provided to Mintrage is true, accurate, complete, and not misleading.
2.3Mintrage reserves the right to verify the Seller’s identity and information before approving registration.
2.4Mintrage may request additional information or documentation where reasonably necessary for verification, compliance, fraud prevention, security, or other legitimate business purposes.

3. Registration and Annual Registration Fee

3.1Registration as a Mintrage seller requires payment of an annual registration fee of US$25 (Twenty-Five United States Dollars).
3.2The registration fee must be paid before the registration can be confirmed.
3.3The registration fee shall ordinarily be paid to the bank account as stated by Mintrage after registration.
3.4Where Mintrage expressly permits payment through a local currency or local payment method, the Seller may pay in the specified local currency and/or through the payment channel specifically provided by Mintrage.
3.5The Seller shall not send registration payments to any bank account, mobile financial service account, individual, or other payment channel unless it has been expressly designated by Mintrage.

4. Registration Payment Verification

4.1To confirm registration, the Seller must:

a. complete the Mintrage registration form;

b. pay the applicable registration fee through the designated payment channel; and

c. submit valid proof of payment through email.

4.2Acceptable proof may include, where applicable:
  • payment receipt;
  • bank transfer receipt;
  • transaction slip;
  • Transaction ID;
  • payment confirmation;
  • screenshot of the completed transaction; or
  • another form of payment evidence accepted by Mintrage.
4.3Registration payment verification and registration processing may take approximately one (1) to seven (7) days.
4.4Payment of the registration fee alone does not automatically constitute approval as a registered seller. Registration becomes effective only after Mintrage verifies the payment and approves the registration. In the event that Mintrage declines registration from a seller, he or she will be refunded within 10-15 days.

5. Registration Confirmation

After the Seller’s registration and payment have been successfully verified, Mintrage will send a registration confirmation email. The registration email may contain:

  1. Confirmation of registration;
  2. The applicable catalogue of services/products;
  3. The applicable Mintrage base prices;
  4. Initial marketing materials;
  5. The executed/signed Seller Agreement;
  6. Supplementary documents and files;
  7. Instructions regarding future order submission;
  8. The designated order-submission email address or other applicable channel; and
  9. Other information required for the Seller to begin operating.

The Seller may begin selling Mintrage services/products only after registration has been confirmed by Mintrage.

6. Term of Registration

6.1Seller registration shall remain valid for twelve (12) months from the date registration is approved by Mintrage.
6.2The Seller may renew the registration by paying the applicable annual registration fee and complying with the renewal requirements applicable at that time.
6.3Mintrage may update its registration procedures, service catalogue, base prices, operational procedures, or other commercial terms applicable to future orders.

7. Right to Sell Mintrage Services and Products

7.1Only a registered Seller may sell the services and/or products offered through Mintrage under this Agreement.
7.2After registration, the Seller may choose to sell:

a. selected services/products from the Mintrage catalogue; or

b. all services/products available through the Mintrage catalogue.

7.3The Seller is not required to sell every service/product offered by Mintrage.
7.4The Seller may independently determine which services/products they wish to promote to their customers.

8. Mintrage Service Catalogue and Base Prices

8.1Following successful registration, Mintrage shall provide the Seller with a catalogue containing the services/products available through Mintrage and their applicable base prices.
8.2The base price represents the amount payable by the Seller to Mintrage for fulfilment of the relevant order.
8.3The Seller may add a profit markup to the Mintrage base price.
8.4The Seller’s retail pricing shall therefore generally operate as: Seller Retail Price = Mintrage Base Price + Seller’s Markup
8.5The Seller is responsible for determining their own markup and final selling price.
8.6Mintrage shall not be responsible for whether the Seller’s chosen retail price is commercially viable or attractive to the Seller’s customers.
8.7Mintrage may change its catalogue or base prices from time to time.
8.8Any revised base price shall generally apply to future orders submitted after the revised price becomes effective.
8.9An order already properly confirmed by the Seller and Mintrage shall remain subject to the applicable price agreed at the time of confirmation unless the Parties otherwise agree.

9. Seller’s Marketing Responsibility

9.1The Seller is responsible for marketing their own page, shop, business, social media account, website, marketplace presence, or other sales channel.
9.2Mintrage does not guarantee that the Seller will receive any customer, order, sale, revenue, profit, or minimum level of business.
9.3Mintrage shall not be responsible for:
  • the Seller’s marketing performance;
  • advertising expenditure;
  • customer acquisition;
  • social media performance;
  • Seller’s page/shop traffic;
  • conversion rates;
  • customer demand; or
  • the Seller’s profitability.
9.4Mintrage may provide the Seller with a limited number of initial marketing materials following registration.
9.5Such initial marketing materials shall generally be non-branded, allowing the Seller to use their own business/page/shop identity.
9.6Mintrage does not guarantee continuing provision of free marketing materials.

10. Use of Mintrage Name and Logo

10.1The Seller shall not use the Mintrage name, logo, trademark, branding, or other identifying marks in the Seller’s marketing materials, page, shop, advertisements, social media accounts, website, or other public-facing materials unless Mintrage expressly provides written authorization.
10.2Initial marketing materials provided by Mintrage are intended to be non-branded and may be customized by the Seller with their own lawful business/page/shop branding, subject to any instructions provided by Mintrage.
10.3The Seller shall not represent themselves as:
  • an employee of Mintrage;
  • a representative of Mintrage;
  • an agent of Mintrage;
  • an authorized corporate representative of Mintrage;
  • the owner of Mintrage;
  • the operator of Mintrage; or
  • a person otherwise legally authorized to bind Mintrage.
10.4The Seller has no authority to make representations, warranties, commitments, promises, or agreements on behalf of Mintrage.

11. Order Submission Process

11.1When a Seller receives an order from an end customer for a Mintrage service/product, the Seller shall forward the order to Mintrage through the designated order-submission channel.
11.2The initial designated channel shall ordinarily be the dedicated email address provided to the Seller upon registration.
11.3Mintrage may subsequently designate or change the official order-submission channel, including:
  • email;
  • online form;
  • seller portal;
  • application;
  • website;
  • dashboard; or
  • another electronic communication channel.
11.4The Seller must provide all information, files, instructions, specifications, references, and other materials necessary for Mintrage to fulfil the order.

12. Order Acceptance

12.1Submission of an order does not automatically mean that Mintrage has accepted the order.
12.2Mintrage shall review the order and may accept or reject it based on factors including:
  • service availability;
  • complexity;
  • required delivery period;
  • available production capacity;
  • legality;
  • technical requirements;
  • completeness of instructions;
  • or other legitimate operational considerations.
12.3Mintrage shall only be responsible for fulfilling an order after Mintrage has accepted the order and the Seller has completed the required payment.

13. Order Payment and Confirmation

13.1To confirm an accepted order, the Seller must pay Mintrage the applicable base price for the service/product.
13.2The order shall not be considered confirmed until the applicable base price has been received through an approved payment channel.
13.3The Seller’s payment of the base price for a confirmed order is non-refundable, except where Mintrage expressly agrees otherwise or where applicable law requires otherwise.
13.4The Seller’s retail price and markup do not affect the amount payable to Mintrage.
13.5The Seller is solely responsible for collecting the full retail price from their end customer.

14. Delivery Time

14.1When submitting or confirming an order, the Seller must provide the applicable maximum delivery period required for delivery to their customer.
14.2Mintrage shall only accept an order where the requested delivery period is compatible with Mintrage’s available fulfilment timeline.
14.3Mintrage may reject an order if the Seller requests a delivery period shorter than the applicable Mintrage fulfilment period.
14.4Once an order is confirmed, Mintrage shall endeavour to deliver the completed work within the applicable agreed maximum delivery period.
14.5Delays caused by incomplete instructions, missing files, changes requested by the Seller, technical problems attributable to the Seller, or other matters outside Mintrage’s reasonable control may result in an adjusted delivery period.

15. Delivery of Completed Work

15.1Mintrage shall deliver completed work to the Seller, not directly to the Seller’s end customer.
15.2Delivery may be made electronically through:
  • Google Drive;
  • designated file-sharing systems;
  • email;
  • Mintrage’s seller portal;
  • another electronic delivery method; or
  • another method expressly specified by Mintrage.
15.3The Seller is responsible for obtaining the completed deliverables from Mintrage and providing them to their end customer.
15.4The Seller shall not represent that Mintrage has directly delivered the work to the end customer unless expressly authorized by Mintrage.

16. End-Customer Relationship

16.1The Seller is solely responsible for their relationship with their end customer.

16.4Mintrage shall not be responsible for losses arising from the Seller’s failure to collect payment from their end customer.

17. No Direct Contractual Relationship with End Customer

17.1The Seller acknowledges that Mintrage’s contractual relationship under this Agreement is with the registered Seller.
17.2Unless expressly agreed otherwise, the Seller’s end customer is not a party to this Agreement.
17.3The Seller shall not represent that Mintrage has assumed the Seller’s contractual obligations toward the end customer.
17.4The Seller remains responsible for their representations and commitments to their end customers.

18. Quality, Revisions and Rework

18.1The quality requirements and included revision/rework limits applicable to each service shall be specified in the Mintrage service catalogue or applicable order information.
18.2The Seller shall communicate accurate requirements from their end customer to Mintrage.
18.3Mintrage shall provide rework or revisions in accordance with the applicable service terms.
18.4The Seller shall not promise unlimited revisions or services beyond Mintrage’s published specifications unless the Seller is prepared to handle the additional requirements independently.
18.5Requests that materially exceed the original order scope may require a new order or additional payment, as determined by Mintrage.

19. Seller’s Responsibility for Customer Information

The Seller shall ensure that information, files, images, text, trademarks, documents, or other materials supplied to Mintrage for fulfilment are lawfully obtained and may legally be provided for the purpose for which they are submitted. The Seller shall not knowingly submit material that:

d. they are not knowingly participating in activities intended to evade applicable sanctions; and

e. they are not otherwise prohibited from receiving or providing the relevant services under applicable sanctions or law. The Seller shall promptly notify Mintrage if any of these representations cease to be accurate.

22. Eligibility and Restrictions

The Seller confirms that they are not located in, resident in, or otherwise attempting to register from a jurisdiction or territory from which Mintrage does not accept customers or Sellers, as applicable under Mintrage’s current eligibility requirements. Mintrage may refuse, suspend, or terminate registration where the Seller does not satisfy Mintrage’s eligibility or compliance requirements.

29.3Suspension or termination shall not release the Seller from obligations that survive termination.

30. Order Obligations after Termination

Termination of registration does not automatically cancel confirmed orders. 31. No Subcontracting or Transfer

The Seller shall not transfer their Mintrage seller registration to another person.
